These Terms of Service ("Terms") govern your access to and use of the website and services provided by LePraise Ltd ("LePraise", "we", "us"), a company operating from 71-75 Shelton Street, London, WC2H 9JQ, United Kingdom. By using our website or engaging our services, you agree to these Terms.

1. Services

LePraise provides digital services including search engine optimisation (SEO), software development and mobile application development. The specific scope, deliverables and timelines for each engagement are set out in a separate proposal, statement of work or order confirmation agreed between the parties.

2. Quotes and proposals

Quotes and proposals are valid for 30 days unless otherwise stated. Work commences once a proposal is accepted and any required deposit or first payment is received.

3. Fees and payment

Prices are quoted in GBP (£) and are exclusive of VAT unless stated otherwise.
Payments are processed securely through our payment provider, Stripe. We do not store your full card details.
Monthly retainer plans are billed in advance on a recurring basis. Project-based work is billed by milestone as set out in the applicable statement of work.
Late or failed payments may result in the suspension of services until the account is brought up to date.

4. Client responsibilities

You agree to provide timely access, materials, approvals and information reasonably required for us to deliver the services. Delays in providing these may affect timelines.

5. Intellectual property

Upon full payment, ownership of the final deliverables created specifically for you transfers to you, except for any third-party materials, open-source components or pre-existing tools and frameworks owned by LePraise, which are licensed to you for use within the deliverable.

6. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the services.

7. Warranties and liability

We provide our services with reasonable skill and care. To the maximum extent permitted by law, our total liability arising out of or in connection with the services shall not exceed the total fees paid by you for the services in the three months preceding the claim. We are not liable for indirect or consequential losses.

8. Cancellation

Monthly retainer plans may be cancelled by either party with 30 days' written notice. Cancellation of project-based work is handled in accordance with the applicable statement of work and our Refund Policy.

9. Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.
